By visiting our website www.halocommunications.co.nz and engaging our services, you agree to our following terms and conditions:

1.2 Pricing is agreed upfront on an hourly rate + GST. Subject to 1.3, we reserve the right to amend these prices at any time.
1.3 We will not change the hourly rate for any service which you have already engaged us to provide as long as the service is provided to you within six months of us providing you with a price for that service.
1.4 The details of our services are provided on our website.
2. Payment Methods:
2.1 All services are payable immediately upon you receiving our invoice.
2.2 Invoices will be provided at the end of each month unless otherwise agreed.
2.3 Services are to be paid by the payment methods set out in our invoice, which include payment by direct credit to our bank account number 03-0510-0836334-000.
2.4 We may charge you interest of 12% per year, worked out daily, on invoices you do not pay by the due date.
2.5 We may also charge you for the costs of any collection fees including court expenses and legal fees that we incur as a result of you not paying our invoices on time.
3. Intellectual Property
3.1 We retain a copyright interest in any documents, communications and other materials we prepare for you as part of our communications services (“documents”) but upon payment in full for our communications services we give you a free licence for an unlimited time to copy and use the documents as you see fit. We are allowed to copy and use the documents (other than any details that might identify you) for our benefit and the benefit of our other clients, including being free to licence the documents to other clients on these same or similar terms and conditions.
3.2 Our website contains intellectual property owned by us, including trademarks, copyrights, proprietary information and other intellectual property. You may not modify, publish, transmit, participate in the transfer or sale of, create derivative works from, distribute, display, reproduce or perform, or in any way exploit in any format whatsoever any of the content, in whole or in part, without our prior written consent. We reserve the right to immediately cease providing you with our communications services if you are caught violating this intellectual property policy. We also reserve the right to seek any lawful remedies available to us if you are caught violating this intellectual property policy.
4.1 We may amend these terms and conditions from time to time and these changes will be deemed to be immediately incorporated into and form part of any contract with you.
5.1 We will not be liable to you for any loss you incur as a result of using our communications services, including (but not limited to) loss of clients or customers, goodwill, reputation, revenue, profits, suppliers, contracts, or any other damage or loss.
5.2 We will not be liable to you for any loss that happens because you did not receive or read a communication we sent to you.
5.3 Our website and all blog articles, resources, tools and email newsletters (“Our Resources”), are educational and informational resource for businesses and others wanting help with communications, and are of a general nature.
5.4 If we feel that you are using our communications services for illegal or defamatory purposes, we can refuse to provide our services to you.
5.5 If as a result of providing you with communication services we commit a defamatory act, or we infringe on the intellectual property rights of a third party, or we become liable to a third party for any reason, you will indemnify us against all claims, costs, and other expenses we incur as a result.
